These Terms of Service (“Terms”) govern your use of NovaReach (“we,” “our,” “us”), owned and operated by Udaloy Trading Inc., based in Charlottetown, Prince Edward Island, Canada. By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Description of Services

NovaReach provides AI-powered automation and communication tools that help businesses manage client inquiries, schedule appointments, and streamline customer interactions. Our services may include:

* AI chat and voice assistants

* Automated scheduling and follow-up systems

* Integration with third-party tools such as GoHighLevel, OpenAI, Twilio, and Grok

* Setup, consultation, and support for business automation solutions

We may add, update, or remove features from time to time to improve our services.

2. Eligibility

Our services are intended for clients who are 18 years or older, in accordance with Canadian law. By using our services, you confirm that you have the legal authority to enter into this agreement on behalf of yourself or your business.

3. Payment Terms

Use of NovaReach services requires payment of an upfront setup fee and monthly recurring subscription fees as agreed in your service plan. All payments are due in full unless otherwise stated in your agreement or invoice. We reserve the right to suspend or terminate services for unpaid invoices. Refunds may be granted only in limited cases at our sole discretion.

4. User Responsibilities

By using NovaReach, you agree to:

* Use our services lawfully and ethically.

* Provide accurate information when creating or updating your account.

* Not upload, transmit, or generate content that violates laws, infringes on intellectual property rights, or contains harmful or misleading material.

* Not attempt to reverse-engineer, copy, or resell any part of our platform.

* Respect data privacy and confidentiality of other users.

You are solely responsible for any data or content you provide to our system and any resulting use of AI outputs.

5. Company Rights

NovaReach reserves the right to:

* Suspend or terminate access to any user who violates these Terms or uses the system abusively.

* Modify, improve, or discontinue features or services with or without notice.

* Adjust pricing or billing terms with reasonable notice to clients.

* Refuse service at our discretion to protect our business integrity and other users.

We are not liable for interruptions, delays, or downtime caused by maintenance, third-party outages, or events beyond our control.

6. Intellectual Property

All NovaReach software, tools, and systems are owned by Udaloy Trading Inc. and protected by Canadian and international copyright and trademark laws.

Client Data: You retain ownership of all data, content, and materials you provide.
AI Outputs: You own the outputs generated through your account, provided they are used lawfully and in compliance with these Terms.
Agency IP: All code, workflows, branding, and automation systems built by NovaReach remain the exclusive property of Udaloy Trading Inc. unless otherwise stated in writing.

7. AI Usage and Fair Use Policy

You agree not to use NovaReach’s AI services to:

* Generate harmful, illegal, or discriminatory content.

* Automate spam, fraudulent outreach, or deceptive messaging.

* Violate privacy laws or collect personal information without consent.

We monitor usage to prevent abuse and maintain fair access for all clients. Excessive or abusive use of AI systems may result in suspension or throttling of service.

8. Limitation of Liability

NovaReach provides services “as is” and “as available.” While we strive for accuracy and uptime, we make no guarantees that our AI outputs will always be error-free, uninterrupted, or meet specific outcomes. To the fullest extent permitted by law, NovaReach and Udaloy Trading Inc. shall not be liable for:

*Indirect, incidental, or consequential damages

*Loss of profits, data, or business opportunities

*Errors in AI responses or third-party integrations

Our total liability for any claim shall not exceed the total amount paid by the client in the 3 months preceding the event giving rise to the claim.

9. Termination

Either party may terminate this agreement at any time with written notice. Upon termination, access to the platform will be disabled, and all data will be deleted or anonymized within a reasonable timeframe. Outstanding fees remain payable upon termination.

10. Dispute Resolution and Governing Law

These Terms are governed by the laws of Prince Edward Island, Canada. Any disputes will first attempt to be resolved through good-faith negotiation or mediation. If unresolved, disputes shall be submitted to the courts of Prince Edward Island.

11. Privacy and Data Protection

Your use of NovaReach is also governed by our Privacy Policy, available at https://getnovareach.com/privacy. By using our services, you consent to our data handling and security practices described therein.

12. Changes to These Terms

We may update or modify these Terms at any time. Changes take effect when posted on our website, and continued use of the service after such updates constitutes acceptance.
